General Terms and Conditions (AGB)
These General Terms and Conditions (“Terms”) apply to all business relationships between ProDisplay Systems GmbH and its customers regarding the sale of products, custom display solutions, services, and related transactions conducted through this website or by direct agreement.

2. Scope of Application
These Terms apply to all current and future business relationships between ProDisplay Systems GmbH and its customers.
Any differing conditions of the customer shall not apply unless expressly agreed in writing.
3. Products and Services
ProDisplay Systems GmbH supplies professional display solutions, including but not limited to:
- TFT modules and displays
- LED display systems
- Digital signage solutions
- Video wall systems
- Passenger information displays
- Custom display developments
- Related accessories and services
Product images, descriptions, technical specifications, and illustrations are provided for information purposes only and may differ slightly from the delivered product.
Technical modifications and product improvements remain reserved.
4. Quotations and Contract Formation
Product information on this website does not constitute a legally binding offer.
Requests for quotations submitted through contact forms, email, or other channels are non-binding enquiries.
A contract is concluded only upon written order confirmation by ProDisplay Systems GmbH or shipment of the ordered goods.
5. Pricing
All prices are stated in Euro (€) unless otherwise specified.
Prices may be displayed excluding or including applicable VAT depending on customer type and legal requirements.
Additional costs such as shipping, customs duties, taxes, insurance, installation, and project-specific services may apply and will be communicated separately.
6. Payment Terms
Invoices are payable according to the payment terms specified in the quotation, order confirmation, or invoice.
Unless otherwise agreed, payment shall be due within 14 days of invoice date without deduction.
For custom developments, project work, or special manufacturing, advance payments or milestone payments may be required.
7. Delivery and Shipping
Delivery dates provided by ProDisplay Systems GmbH are estimates unless expressly agreed as binding.
Delays caused by force majeure, supplier shortages, transportation disruptions, customs procedures, or circumstances beyond our control shall not result in liability.
Risk transfers to the customer upon handover of goods to the carrier unless otherwise required by applicable law.
8. Inspection and Acceptance
The customer shall inspect delivered goods immediately upon receipt.
Any visible defects, shortages, or transport damage must be reported without undue delay.
Failure to report defects within a reasonable period may result in loss of warranty claims to the extent permitted by law.
9. Warranty
Warranty rights are governed by applicable statutory provisions unless otherwise agreed in writing.
The warranty does not cover:
- Improper installation
- Misuse or negligence
- Unauthorised modifications
- Normal wear and tear
- External influences such as power surges, environmental damage, or accidents
Warranty claims may require inspection, testing, or return of the affected product.
10. Custom Projects and Engineering Services
Many products supplied by ProDisplay Systems GmbH are custom-designed or modified according to customer specifications.
The customer is responsible for verifying all technical requirements, dimensions, certifications, and project suitability prior to approval and production.
Changes requested after approval may result in additional costs and extended delivery times.
11. Limitation of Liability
ProDisplay Systems GmbH shall be liable without limitation for damages resulting from intent, gross negligence, injury to life, body, or health, and where liability is mandatory under applicable law.
For slight negligence, liability shall be limited to foreseeable damages typically associated with the contract.
Liability for indirect damages, consequential damages, loss of profits, business interruption, or loss of data shall be excluded to the extent permitted by law.
12. Retention of Title
Delivered goods remain the property of ProDisplay Systems GmbH until all outstanding payments arising from the business relationship have been paid in full.
13. Intellectual Property
All intellectual property rights, including designs, technical drawings, documentation, software, product concepts, and website content, remain the property of ProDisplay Systems GmbH or the respective rights holder.
No rights are transferred except as expressly agreed in writing.
14. Data Protection
Personal data is processed in accordance with our Privacy Policy and applicable data protection legislation, including the General Data Protection Regulation (GDPR).
15. Force Majeure
Neither party shall be liable for delays or failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, war, strikes, governmental actions, pandemics, supply chain disruptions, or utility failures.
16. Governing Law
These Terms shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
17. Place of Jurisdiction
To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship shall be Neu-Ulm, Germany.
18. Severability Clause
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain unaffected and continue in full force and effect.
